In line with the requirements of the Companies Act 2014, the Irish Stammering Association proposes to replace their existing Memorandum and Articles of Association with a constitution encompassing both of these documents. In order to do this, there will be an extraordinary general meeting of the Irish Stammering Association at the National Stammering Awareness Day at 1 p.m. on 22 nd October in the Hilton Kilmainham Hotel, Dublin 8. The sole purpose of this meeting will be to deal with the adoption of the following special resolution: “That, following a review of the Memorandum and Articles of Association of Irish Stammering Association, and in order to update same for reasons of best practice and to ensure continued corporate compliance with the Companies Act, that the amended Constitution, but subject to the approval of the Charities Regulator, the Revenue Commissioners, the Registrar of Companies, the Company adopt the Constitution attached to this notice in submission for the existing Memorandum and Articles of Association of the Company”.
